Terms of Service

These Terms govern your use of Easley Signal, the client portal operated by Easley Labs LLC (“Easley Labs,” “we,” “us”). By creating an account or using the portal, you agree to these Terms. If you are using Signal on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.
1. The service
Signal is a content production and scheduling tool. Authorized users upload media, draft captions with the help of AI, review them, and publish to connected social accounts. Signal supports related features including QR-coded guest capture, content planning, brand kit management, and analytics.
2. Your account
You are responsible for the security of your account credentials and for the activity under your account. Notify us at nate@easleylabs.com if you suspect any unauthorized access.
3. Your content
You retain all rights to the photos, videos, captions, and other materials you upload or generate inside Signal (“Your Content”). You grant Easley Labs a limited license to host, store, transmit, process, and display Your Content solely to operate the service for you, including sending it to AI subprocessors to draft captions and to social platforms when you schedule a publish.
You confirm that you have the rights necessary for any content you upload, including consent from any identifiable people shown in photos. For guest-submitted content, the consent screen presented to guests records their agreement to your use of their submission.
4. AI-generated drafts
Signal uses third-party AI models to draft captions, summaries, and suggested content. These drafts are starting points, not finished copy. You are responsible for reviewing every AI-generated draft before it is published anywhere. We do not warrant the accuracy, suitability, or originality of AI output.
5. Connected accounts and publishing
When you connect a Facebook Page or Instagram Business account, you authorize Signal to act on your behalf to publish posts you schedule. The access tokens used to publish are encrypted before they are stored. You can disconnect any account at any time from the Connections page.
Signal publishes only the posts you schedule. Signal does not browse, delete, or modify content on your connected accounts beyond the publish action.
6. Acceptable use
You agree not to:
- Use Signal to publish content you do not have the rights to publish.
- Upload content that violates the law or any social platform’s policies.
- Attempt to access another organization’s data inside Signal.
- Probe the service for vulnerabilities without our written permission.
- Resell access to Signal without an agency agreement with us.
7. Subscriptions and billing
Paid tiers of Signal are billed through Stripe. Charges renew on the cycle shown at signup. You can cancel from the billing screen, in which case access continues to the end of the current paid period. Fees already paid are non-refundable except where required by law.
8. Service availability
We work to keep Signal available, but we do not guarantee uninterrupted access. Some features rely on third parties (Meta, Stripe, Anthropic, Cloudinary, Vercel, Supabase, Resend, Upstash), and outages on their side may affect Signal.
9. Disclaimers
Signal is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Easley Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Easley Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity. Our aggregate liability for any claim related to the service is limited to the amount you paid for the service in the twelve months before the event giving rise to the claim, or one hundred US dollars, whichever is greater.
11. Termination
You can stop using Signal at any time. We may suspend or terminate an account that violates these Terms or that creates risk to us or another customer. On termination, we will retain your data for the period described in the Privacy Policy, after which it is deleted.
12. Changes
We may update these Terms. If a change is material, we will notify account owners by email or by a notice inside Signal at least 14 days before the change takes effect. Continued use after that date is acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Denver County, Colorado, and you and we consent to that jurisdiction.
